1. Acceptance of Terms

By accessing and using the services provided by Apex Digital Strategies ("we," "us," or "our"), you ("client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Provided

Apex Digital Strategies provides digital marketing services including but not limited to:

• Website design and development
• Search engine optimization (SEO)
• Pay-per-click (PPC) advertising management
• Social media marketing
• Email marketing campaigns
• Content marketing and creation
• Analytics and reporting
• Digital strategy consulting

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information and feedback in a timely manner
• Maintain the confidentiality of account credentials and access information
• Comply with all applicable laws and regulations
• Make payments according to the agreed schedule
• Provide necessary access to relevant platforms and systems

4. Payment Terms

Payment terms are as follows:

• Project-based services require 50% payment upfront with the remainder due upon completion
• Monthly services are billed in advance on the same date each month
• Late payments may incur a 1.5% monthly service charge
• Unpaid invoices after 30 days may result in service suspension
• All prices are in USD unless otherwise specified

5. Intellectual Property

Upon full payment, you own the rights to custom work created specifically for your business, including website designs, content, and creative materials. However, we retain rights to our proprietary methodologies, tools, and any pre-existing intellectual property. Third-party assets (stock photos, software licenses, etc.) remain subject to their respective terms.

6. Confidentiality

We maintain strict confidentiality regarding your business information, strategies, and data. We will not disclose, use, or share your confidential information with third parties without your explicit consent, except as required by law or to provide the agreed services.

7. Service Level and Performance

While we strive to deliver exceptional results, we cannot guarantee specific outcomes due to factors beyond our control, including but not limited to search engine algorithm changes, market conditions, and competitor actions. We commit to using industry best practices and providing regular reporting on performance metrics.

8. Limitation of Liability

Our liability is limited to the amount paid for services in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, you remain responsible for payment of all services rendered up to the termination date. We will provide a final report and transfer of applicable assets upon full payment of outstanding balances.

10. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in New York, NY, and governed by New York state law.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the new terms.
